When Subchapter V was new, there was not much guidance or experience with post-confirmation issues. Now that Subchapter V is in its fourth year, trustees and practitioners are finding out there are many paths a Reorganized Debtor and the Subchapter V Trustee can travel once a plan is confirmed. The goal of this Session is to engage in a meaningful discussion of what happens on those paths less traveled. The Panel will highlight how to modify plans after confirmation, tips for when the Trustee is the distribution agent, obtaining a discharge for Debtors with non-consensual confirmations, what happens when a Debtor fails to comply with the provisions of a consensual plan and the impact on discharge, reappointing a Subchapter V Trustee post confirmation, post confirmation conversion to chapter 7, and other interesting post-confirmation issues. The panel will also discuss issues related to getting paid for post-confirmation services as well as how to perform a Trustee’s duties post-confirmation in instances where the Trustee is not the disbursing agent. The goal is discuss a road map for dealing with potential situations that may arise post-confirmation from the Subchapter Trustee’s position, as well as for Debtor counsel.

Science fiction films and books have always been fascinated with the concept of artificial intelligence (AI) and its implications for humanity. One of the most iconic representations of AI in science fiction is “Hal 9000”, the sentient computer from the 1968 movie 2001: A Space Odyssey. Hal 9000’s initially cold and logical demeanor rapidly descends into murderous behavior, possibly shaping the public’s wary reception of AI ever since. But a more recent film, The Imitation Game, in which experts utilized a computer to decrypt German intelligence messages to shorten World War II, may reflect changing attitudes toward computers. This panel will discuss generative AI, the potential impact of AI on the trustee’s practice, including how AI affects the reasonableness of professional fees under section 330 of the Bankruptcy Code and fiduciary duties to the estate and the court, as well as other ethical and practical considerations relating to the use of AI in trustee’s practice. All practical examples will be tailored to the specific perspective of trustees in bankruptcy cases.

Avoidance Actions and Trustee Strong Arm Powers – Bringing Money into the Estate

The panel will begin with a brief review of common trustee avoidance powers and claims before diving deeper with a discussion of the burgeoning merchant cash advance industry (MCA), which has exploded in the last decade. MCAs provide fast money to troubled companies on onerous terms making MCAs frequent participants in bankruptcy proceedings, and potential targets of a trustee’s avoidance powers. The panel will explore MCAs, their structure, and potential claims trustees can lodge against them to bring money into the estate. The panel will conclude with robust case studies including the FKF 3 case involving tough avoidance claims, withdrawal of the reference, a jury trial on avoidance actions, attacking owners of entity targets, and getting prejudgment interest on a judgment, and the infamous Fyre Festival case involving attacking transfers to numerous models and musical acts where the funds they received never flowed through the debtor’s coffers.

Problems with Reopened Cases

This session will cover common problems faced by Chapter 7 Trustees when assigned to administer a re-opened case. Topics will include: A brief overview of statutory and case law governing when a case should be re-opened; Rights of debtors after re-opening to amend schedules to add exemptions for previously unscheduled assets; Problems with claims and creditors including getting claims filed if no bar date was previously set, getting creditors who filed claims in a case now closed for years to accept new payments on claims and tracking down relocated creditors who have valid filed claims but have moved, been consolidated, been bought out or merged. We will discuss handbook standards for due diligence in tracking down creditors and varying practices in issuing unclaimed funds to court; Process, procedure and strategies for appointing and working with special counsel for real estate sales, mass-tort, product liability or other valuable injury claims and how to handle “net” proceeds paid to estate in re-opened cases including the issue of whether the Trustee is entitled to compensation on the constructive distribution of fees and expenses paid outside the bankruptcy case together with standards for court approval of settlements and particular challenges re-opened cases present.

On April 19, 2024, the American Bankruptcy Institute’s Subchapter V Task Force released its Final Report.  The Final Report details the results of the Task Force’s year-long study of subchapter V, explaining related case law, witness testimony, and empirical data considered throughout the process. This panel will provide a high level overview of the Final Report, discussing several of the Task Force’s key recommendations, including those addressing debtor eligibility, the role of the subchapter V trustee, and the subchapter V plan confirmation process. This panel will examine the applicability of section 523(a)’s nondischargeability provisions to corporate subchapter V debtors nationwide.  Panelists will discuss the circuit split following the Fifth Circuit’s April 2024 decision in GFS Industries, predict whether the GFS Industries decision will be subject to en banc review, and analyze whether any cases are poised to be examined by other circuit-level courts.  The panel also will discuss the practical implications of a creditor holding a nondischargeable claim.  What does it mean for plan confirmation and consummation, and what tools are at a debtor’s, creditor’s, and judge’s disposal?
